Plain language: be reasonable, don't break the law, don't claim my work is yours, and respect the line between personal use and commercial / professional use.
agreement.
By accessing paelladoc.com or installing the PaellaDoc desktop app, you agree to these terms. If you disagree, close the tab or uninstall the app — that’s a perfectly valid response.
license grant.
PaellaDoc grants you a non-exclusive, non-transferable, revocable license to use the desktop application:
- Personal individual use is free of charge for the features shipped today, used by an individual on their own machine, on personal projects (including learning, side projects, and open-source contributions).
- Commercial / professional use means use within a company (yours or your employer’s), use on paid client work, use that generates revenue directly or indirectly, or use as part of a paid service. It may require a paid license once Pro/Team plans are available. I will give clear notice before any such requirement applies; binaries already downloaded keep the terms they had at the time of download.
- Future Pro/Team/cloud features may require a paid license from the moment they are released.

restrictions.
You may not:
- Resell, sublicense, or redistribute the binary.
- Modify, decompile, or reverse-engineer the binary except to the limited extent allowed by mandatory law (e.g. interoperability under EU Directive 2009/24/EC).
- Remove or alter any proprietary notices, signing certificates, or telemetry identifiers from the binary.
- Use PaellaDoc to develop a directly-competing product by extracting trade secrets from the binary.
You may freely build plugins using the public Plugin SDK (Apache-2.0), publish those plugins, and use the Framework origin repository under its stated license.
intellectual property.
The PaellaDoc desktop application is source-available, not open-source. The orchestrator, context graph, memory ranking, router and execution engine are the closed product core. The Plugin SDK is open under Apache-2.0.
Marketing site content (this site, copy, illustrations, the paella logo) belongs to PaellaDoc unless otherwise marked. Trademark and brand apply to those.
User-generated content (your specs, conversations, code, knowledge graphs) belongs to you, lives on your machine, and is never claimed by me.
third-party links.
I link to GitHub, R2, X, Snyk, Gartner reports, and other external services. I don’t control them. Their terms apply to their stuff.
The desktop app may make outbound calls to LLM providers you configure (OpenAI, Anthropic, Google, etc.). Each provider’s own terms apply to those calls.
telemetry.
The desktop app collects anonymous opt-out telemetry to improve the product. Chats, code, prompts and secrets never leave your machine. Full details — what events, how to opt out, where data is stored — live in the Privacy Policy.
versioned binaries.
The terms attached to a binary at the moment you downloaded it apply to that binary indefinitely. You are never required to upgrade. Future releases may carry different terms; those new terms apply to those new binaries, not retroactively to ones you already use.
limitation of liability.
The site and product are provided as is, without warranty. PaellaDoc is not liable for losses arising from use of the site or the software, to the extent permitted by law.
Translation: if your orchestrator pushes a broken refactor because you skipped the gold-gate, that’s on you.
governing law.
These terms are governed by the laws of Spain. Disputes will be settled in the courts of Valencia, Spain, except where mandatory consumer-protection law grants you a different venue.
changes.
I may update these terms. The last updated date at the top will reflect any changes. Material changes will be flagged on the homepage and on the /license/ page (the bounded promise is the durable contract).
